1. Agreement to These Terms

These Terms of Service ("Terms") govern your use of the NAPA Family Fitness website and gym membership service (the "Service"), operated by NAPA Center Denver, LLC and NAPA Center, Inc. ("NAPA Center," "we," "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

Use of the gym itself additionally requires signing the NAPA Family Fitness Gym Terms & Conditions of Use(the "Gym Waiver"), which covers eligibility, assumption of risk, release of liability, facility rules, and payment terms. The Gym Waiver is presented for signature before your first purchase and is incorporated into these Terms by reference. If these Terms and the Gym Waiver conflict with respect to use of the gym facility, the Gym Waiver you signed controls.

2. Eligibility and Accounts

• The Service is available to family members, caregivers, and guests of clients currently receiving services at NAPA Center.
• You must be at least 18 years old (or the age of majority in your state) to create an account and make purchases. Minimum ages for gym use are set by the Gym Waiver.
• You agree to provide accurate account information and to keep it up to date.
• You are responsible for safeguarding your password and for all activity under your account. Notify us promptly of any unauthorized use.

3. Memberships, Payments, and Billing

• The Service offers day passes and monthly memberships. Prices are shown on the pricing page at the time of purchase.
• Payments are processed by Stripe. We do not store your card number on our systems.
• Monthly memberships renew automatically each month until cancelled.
• If a recurring payment fails, gym access may be suspended until payment is successfully processed, as provided in the Gym Waiver.
• We may change pricing prospectively; changes will not affect a billing period you have already paid for.

4. Cancellation and Refunds

• You may cancel a monthly membership at any time from your account dashboard. Cancellation takes effect at the end of the current billing period, and you keep gym access until then.
• To avoid a renewal charge, cancel before your renewal date. Cancellations on or after the renewal date apply to the next billing cycle.
• As stated in the Gym Waiver, day passes and memberships are non-refundable and non-transferable, and prorated refunds are not issued for partial months or unused time.

5. Waiver Requirement

A current signed Gym Waiver is required for gym access. If the Gym Waiver is updated, you may be required to sign the updated version, and gym access (including your door code) may be suspended until you do. Signing is completed electronically through the Service.

6. Door Access Codes

• An active membership or day pass includes a personal door access code for the gym.
• Your code is personal and non-transferable. Do not share it with anyone. Each person entering the gym must hold their own active membership or pass — guests are not permitted.
• Door entries are logged for facility security, as described in our Privacy Policy.
• Sharing your code or permitting unauthorized entry may result in immediate revocation of access without refund, as provided in the Gym Waiver.
• Codes work only during permitted access hours, which follow clinic operating hours and may be modified when necessary.

7. Acceptable Use of the Website

You agree not to:

• Access or attempt to access another user's account or data.
• Probe, scan, disrupt, or interfere with the Service or its security features.
• Use the Service to impersonate any person or misrepresent your identity.
• Use automated means to scrape or harvest data from the Service.

8. Electronic Signatures and Communications

You consent to transact electronically, including signing the Gym Waiver by electronic signature, and you agree that your electronic signature has the same effect as a handwritten one. You consent to receive transactional communications (such as receipts, renewal notices, and password resets) at the email address on your account.

9. Intellectual Property

The Service, including its content, design, logos, and branding, is owned by NAPA Center or its licensors and is protected by law. You may not copy, modify, or reuse it without our written permission.

10. Suspension and Termination

We may suspend or terminate your account or gym access for violation of these Terms or the Gym Waiver, for non-payment, or when your affiliation with a current NAPA Center client ends. You may close your account at any time; closing your account does not entitle you to a refund of amounts already paid.

11. Disclaimers and Limitation of Liability

The website is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the website, and we are not liable for indirect, incidental, or consequential damages arising from use of the website. Nothing on the Service is medical advice; consult a medical professional before beginning any exercise program.

Risks, releases, and liability relating to physical use of the gym facility are governed by the Gym Waiver you sign.

12. Governing Law

These Terms are governed by the laws of the State of Colorado. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts located in Denver County, Colorado.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the current version. Material changes will be communicated through the Service or by email, and continued use of the Service after changes take effect constitutes acceptance. Changes to the signed Gym Waiver are handled through the re-signing process described in Section 5.
